Licensing Prism Technology

Prism Resources has an active program of third party technology licensing to enhance the return on Prism's technology investment. License fees are at market rates and typically consist of combinations of up front payment and royalties based on revenues generated from use of the licensed technology. The decision to license technology is based on a number of factors, including but not limited to:

• Whether Prism wishes to have a continued presence in the particular technology field 

• The relative importance of the technology to Prism's own present and future business 

• The potential of the licensee to enhance the value of the technology by increasing its utility 

• The likelihood of complementary sales from additional Prism technology, products, or services 

• Any potential negative business impacts resulting from the licensee's activities 

Licensing is undertaken with the aim of forming a complementary relationship between Prism and the licensee. In certain circumstances Prism will consider arrangements alternative to licensing, such as sale or joint development of technology assets. The structure of such transactions is determined on a case-by-case basis. Prism makes it a practice not to license its technology to companies or individuals that do not respect Prism's intellectual property interests. A license to a Prism technology does not include any rights to Prism's patents unless explicitly covered in the license. All technology licenses are subject to variations in local laws and regulations.
